If you register on our Website you may request a free thirty (30) days trial for Loyica Systems Services and Products. We will make one or more Services/Products available to you on a trial basis free of charge until the earlier of (a) the end of the free trial period for which you registered to use the applicable Service(s)/ Product, or (b) the start date of any Purchased Service subscriptions ordered by you for such Service(s)/Product, or (c) termination by us in our sole discretion. Additional trial terms and conditions may appear on the trial registration web page. If you register for a free trial for our Services and Products, the applicable provisions of These Terms will also govern that free trial.
Services and access to Products are purchased as monthly subscriptions. You may choose the package of Services for each Product when making a subscription (“Order Form”). We will make the Services and Products available to you pursuant to These Terms and the applicable Order Forms, (b) provide applicable standard support for the Services to you at no additional charge, and/or upgraded support if purchased, (c) use commercially reasonable efforts to make the online Services available 24 hours a day, 7 days a week, except for: (i) planned downtime (of which we will give advance electronic notice), and (ii) any unavailability caused by circumstances beyond our reasonable control, including, for example, an act of God, act of government, flood, fire, earthquake, civil unrest, act of terror, strike or other labor problem (other than one involving our employees), Internet service provider failure or delay, or denial of service attack.

Loyica hereby grants to you a limited, non-exclusive, non-transferable freely revocable license to access, operate, and use the Products from your devices. The Product is licensed, not sold, to you for your internal business needs, non-commercial use only and as prescribed under These Terms. Products may enable access to Loyica's and third party services and web sites. Use of the Services requires Internet access and use of certain Services may require you to accept additional terms and may be subject to additional fees.
Certain features of the Services may also be made available only upon additional fees if you purchase access to certain add-ons on a feature-by-feature basis.
Loyica and its licensors, reserve the right to change, suspend, remove, or disable access to any Services or Product at any time upon written notice. Payments
The license to use Loyica Systems Services and Products is granted to you for the initial purchase price and on the terms as specified at the moment of purchase through the Website. Certain products or services offered on or through the Website may also be provided for additional fees or other charges. If you elect to purchase Loyica Systems Services and Products on or through the Website, you agree to the applicable pricing and Systems Billing Policy, as we may update them from time to time.
The charges do not include applicable taxes (including VAT) or import/export duties or shipping and delivery charges. If any of those duties or charges are incurred, they will be added to any relevant invoice and will be payable by you or, if payable on a withholding tax basis, will be payable by you to the relevant authority direct.
Intellectual Property Rights
Loyica (or its licensors) shall retain all Intellectual Property Rights in and to all of Loyica's business, information, technology, and other proprietary materials, including but not limited to Loyica Systems Services and Products (including but not limited to all software, concepts, methodologies, techniques, models, templates, algorithms, trade secrets, processes, information, materials, source codes, structure, sequence, organization, "look and feel", images, text, graphics, illustrations, data and know-how contained therein, all modifications, alterations, updates, upgrades, and enhancements thereof, all documentation and manuals related thereto and all other aspects of such technology) or any derivatives thereof, the name “LOYICA” or any derivatives thereof, and any other trademarks and logos (whether registered or not) which are owned or controlled by Loyica and made available to you through the Service or otherwise (“Intellectual Property”).
Except as specified herein, you do not acquire any rights, express or implied, in the Loyica Systems Services and Products, including all upgrades, modifications, new versions and releases and have no right to commercialize or transfer Loyica Systems Services and Products, in whole or in part. No license, right or Intellectual Property Right in any Loyica's trademark, trade name or service mark is granted pursuant to These Terms.
The content of the Products including the text, graphics, and photos created by Loyica and users ("Content") and the trademarks, service marks and logos contained therein, are owned by or licensed to us, subject to copyright and other intellectual property rights under European, United States and foreign laws and international conventions. Content of Loyica Systems Services and Products is provided to you “as is” for your information and personal use only and may not be used for any other purpose whatsoever without the prior written consent of us or as expressly provided herein.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THESE TERMS, IN NO EVENT SHALL LOYICA OR ANY OF ITS AFFILIATES OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, SHAREHOLDERS, AGENTS, REPRESENTATIVES, SUPPLIERS OR LICENSORS be liable TO YOU OR ANY OTHER PERSON OR ENTITY for personal injury, or any direct, indirect, incidental, special, punitive or consequential damages (INCLUDING, WITHOUT LIMITATION, LOSS OF GOODWILL OR BUSINESS PROFITS, WORK STOPPAGE, DATA LOSS, OR COMPUTER FAILURE, DELAY OR MALFUNCTION) that result from the use of or inability to use the Services or products, including but not limited to reliance on any information obtained from Loyica; or that result from mistakes, omissions, interruptions, deletion of files or e-mail, loss of or damage to data, errors, defects, viruses, delays in operation or transmission, or any failure of performance, whether or not limited to acts of god, communication failure, theft, destruction or unauthorized access to Loyica's records, programs or services, UNDER ANY THEORY OF TORT, CONTRACT, WARRANTY, STRICT LIABILITY OR NEGLIGENCE. YOU hereby acknowledge that this provision will apply whether or not Loyica HAS BEEN ADVISED, KNEW OR SHOULD HAVE KNOWN of the possibility of such damages and that this provision will apply to all services available from Loyica and its affiliates.
Some jurisdictions do not allow the limitation of liability for personal injury, or of incidental or consequential damages, so this limitation may not apply to You. NOTHING IN THESE TERMS SHALL BE DEEMED TO EXCLUDE OR LIMIT LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED AS A MATTER OF LAW. IN ANY CASE, LOYICa's MAXIMUM AGGREGATE LIABILITY TO YOU OR ANY OTHER PERSON OR ENTITY UNDER THESE TERMS, INCLUDING ANY ADDITIONAL TERMS, for all damages (other than as may be required by applicable law in cases involving personal injury) SHALL NOT EXCEED THE AMOUNT YOU PAID TO LOYICA HEREUNDER OR $500.00, WHICHEVER IS GREATER. The foregoing limitations will apply even if the above-stated remedy fails of its essential purpose.
THE ABOVE LIMITATION OF LIABILITY SHALL SURVIVE THE TERMINATION OF THESE TERMS OR YOUR RIGHT TO USE THIS WEBSITE.
Termination
These Terms commence on the date you first accept it and continues until all subscriptions hereunder have expired or have been terminated.
The license is effective until terminated by you or Loyica under the terms herein.
A party may terminate engagement under These Terms upon thirty (30) days written notice to the other party.
Upon termination for any reason, all licenses will immediately terminate.
Upon request by you made within sixty (60) days after the effective date of termination or expiration of the engagement under These Terms, we will make your data available to you for export or download. After such 60-day period, we will have no obligation to maintain or provide any your data and will thereafter delete or destroy all copies of your data in our systems or otherwise in our possession or control, unless legally prohibited.
Governing Law
These Terms and the legal relationship between the parties arising in connection herewith shall be governed by and construed in accordance with the laws of England and Wales without recourse to the conflict of laws rules regardless of the venue or jurisdiction in which a dispute arises. The parties agree to submit to the personal jurisdiction of competent courts of England, for any actions for which either party retains the right to seek injunctive or other equitable relief, as further described in the Arbitration provision below. For any dispute, you have with Loyica, you agree to first contact us at contact@loyica.com, support@loyica.com and attempt to resolve the dispute informally.
Export Compliance
The Services, Products, other technology we make available and derivatives thereof may be subject to export laws and regulations of the United States and other jurisdictions. Each party represents that it is not named on any U.S. government denied-party list. You shall not permit Users to access or use any Service or Product in a U.S. embargoed country (currently Cuba, Iran, North Korea, Sudan, Syria or Crimea) or in violation of any U.S. export law or regulation.
Assignment
You may not assign, transfer, delegate, and sublicense These Terms or any rights granted hereunder. You acknowledge and agree that Loyica may assign, novate, transfer, delegate and license These Terms and/or any of its rights hereunder to any other entity in connection with a merger, reorganization, recapitalization or sale of all of or substantially all of its stock, business or assets, with or without notice to you.
Loyica reserves the right to fulfill any of its duties and powers under These Terms by the use of agents and sub-contractors and to assign such duties and powers without your prior consent.
Entire Agreement Severability
These Terms, Systems Billing Policy, including any modifications thereto and any additional agreements you may enter into with Loyica in connection with the Services and Products, represent the entire understanding between Loyica and you with respect to the matters contained herein and supersede all previous or contemporaneous agreements, proposals, understandings and representations, written or oral, with respect to These Terms hereof.
In the event that any provision of These Terms should be found by a court of competent jurisdiction to be invalid, illegal or unenforceable in any respect, the validity, legality, and enforceability of the remaining provisions contained herein shall not in any way be affected or impaired thereby.
Amendments
Loyica reserves the right to update, change or modify These Terms from time to time at its sole discretion without any prior notice. If you do not agree with the terms and conditions of These Terms or any subsequent modifications to These Terms, do not use or access (or continue to access) Loyica Systems Services or Products.
Headings are included for convenience only and will not be considered in interpreting These Terms. For the avoidance of doubt, as used in These Terms, the word including means including but not limited to.

Loyica may provide notifications to you via email notice, or through posting of such notice on Website, as determined by Loyica in our sole discretion. Loyica reserves the right to determine the form and means of providing notifications to users, provided that you may opt-out of certain means of notification as described in These Terms. Loyica is not responsible for any automatic filtering you or your network provider may apply to email notifications we send to the email address you provide us.

Saphyte Technologies LLC (“This Policy”) governs the payment process for Saphyte Technologies LLC Services and Products available through the website https://www.saphyte.com/ (“Website”) between you (referred to herein as “you”, “your” or “user”) and Saphyte Technologies LLC with its registered address at Office 46-47, 18th Floor, One by Omniyat, Business Bay, Dubai, United Arab Emirates (referred to herein as “Saphyte” or “we”).
When you register for Saphyte as described in Saphyte Terms of Use, you agree to pay and take responsibility for all charges made in accordance with your plan, Systems Terms & Conditions, and This Policy. If you are entering into This Policy on behalf of a Saphyte or other legal entity, you represent that you have the authority to bind such entity and its affiliates to This Policy, in which case the term “you” or “your” shall refer to such entity and its affiliates.
Only you may create, edit, or cancel your subscription and it must be performed inside your account. We are unable to do any of these for you. Asking us by phone, chat, email, or helpdesk does not constitute a change or order.
Saphyte Subscription
Saphyte provides monthly or yearly subscriptions to either of one of Saphyte's plans (Basic, Advanced, or Enterprise). All subscriptions must be on the same plan.
The subscription renews at the beginning of each billing cycle. To check the amount and date of your next payment, you may log in to your account and navigate to the billing (click here). You may request for thirty (30) days' free trial period. If your trial ends and you have not subscribed, your account will be reverted to the free trial. After sixty (60) days, your account will be automatically deactivated and all the data inside your workspace will be deleted permanently.
Invoice
An invoice will be generated every end of your billing cycle. The payment is due within ten (10) business days upon the date of generated invoice.
Overdue Payment
Notifications will be emailed on the 1st, 8th, 17th and 25th day of payment being past due. Accounts that remain past due will be suspended after sixty (60) days and be subject to automatic deactivation and deletion ninety (90) days after the payment due date.
Cancellations
To officially cancel your Saphyte subscription, please contact us at support@saphyte.com. In order to avoid future charges, the cancellation must be requested thirty (30) days in advance.
Refunds
Saphyte does not issue refunds. However, should you find faults in our service anytime during the first 10 days of usage, we would like to offer you choices to address your issue:
Failed Charges
If Saphyte is unable to bill your credit card on file, you will have a thirty (30) day grace period to update your billing. If your method of payment is not updated within this time frame, your account will automatically be deactivated.
Accounts that have been terminated due to failed payment may be reactivated if valid payment information is updated and we can successfully charge the card for all debits made on the account since the failed charge.
Risk of Loss
All financial transactions made in connection with the Saphyte Solutions Service will be processed by a third party in accordance with their respective terms of use, privacy policy, and/or any applicable payment terms and conditions over which the Saphyte has no control. In no event will Saphyte be responsible for the actions or inactions of any third-party payment processor, including, but not limited to, system downtime or payment service outages.
Billing disputes
Any billing disputes must be raised in writing to support@saphyte.com during the first 10 days of usage after the effective date of agreement with Saphyte.
A billing dispute is valid only if the customer is proven to be misinformed about the pricing by Saphyte's authorized salesperson and any other billing disputes are subject to investigation.
Any features and development requests outside the scope of work will not be considered as a reason for appealing for a billing dispute. As a current or prior client of the Saphyte, you agree to allow the Saphyte to attempt settlement of any billing dispute for thirty (30) days before disputing with any third party, credit card Saphyte or bank. Saphyte simply requires that it will be the first option in billing disputes.
Amendments
Saphyte may periodically amend this Policy for any reason. Please review this Policy periodically. Your continued use of the Website after any such changes constitutes your acceptance of such changes.
